Eight Great Mountains Man Memorial Hall These Rules are formulated in accordance with the provisions of the Council’s Articles of Association (hereinafter referred to as the “Articles”) and relevant regulations.

 

Chapter Two Organizational structure of the supervisory board

Article 2   Staff composition     According to the Articles of Association, the Supervisory Board consists of: 3 composed of named supervisors, the supervisors in Members of the Party Group of the unit and The staff members of this institution are selected as follows: Staff representatives are nominated by the trade union committee, elected by the staff congress, and appointed by the organizing entity. The director and the chief financial officer may not concurrently serve as supervisors.

Article 3   Term of Office and Election of Supervisors     The term of office for each supervisor is Three Each year, supervisors shall be democratically elected or replaced by the staff of this institution; supervisors who are re-elected may serve consecutive terms. If the term of office of a supervisor expires without timely re-election, or if a supervisor resigns during their term of office resulting in the Supervisory Board falling below the statutory number of members, the incumbent supervisors shall continue to perform their duties in accordance with applicable laws, administrative regulations, and the Articles of Association until the newly elected supervisors assume office.

Article 4   The chairman of the supervisory board is elected.     The Supervisory Board shall have a Chairperson. One person, elected by a majority vote of all supervisors and appointed by the organizing entity.

 

Chapter Three    Supervisory Board Responsibilities

 

Article 5   The Supervisory Board is accountable to the Board of Directors and oversees the financial affairs of the institution as well as the legality and reasonableness of the management’s performance of their duties, thereby safeguarding the legitimate rights and interests of both the institution and its directors.

Article 6   The Supervisory Board exercises the following powers in accordance with the Articles of Association and relevant regulations:

(1) Implement the resolutions of the Executive Council;

(2) Supervise the financial operations of this unit;

(3) To supervise the management of this library’s compliance with laws, regulations, or its articles of association;

(4) When the actions of members of this library’s management team harm the interests of our institution, we shall demand that they rectify such behavior.

(5) To be invited to attend the library’s administrative meeting as an observer;

 

Chapter Four Rules of Procedure for the Supervisory Board

Article 7   Meeting format     The supervisory board’s meeting procedures include two forms: regular supervisory board meetings and ad hoc supervisory board meetings.

Article 8   Meeting time     Supervisor every The Supervisory Board shall hold at least one meeting every six months. Ad hoc meetings of the Supervisory Board shall be convened as needed based on work requirements.

Article 9   Meeting Notice Format   The notice for the supervisory board meeting shall be issued prior to the holding of the meeting. Ten days in advance, all supervisors shall be notified in writing. An ad hoc meeting of the Supervisory Board shall be convened and notified in writing; resolutions or issues requiring review shall be communicated no later than five days in advance; for matters not requiring the formation of a resolution, notification shall be given no later than three days in advance.

Article 10   Meeting Moderator     The meeting of the Supervisory Board shall be convened and chaired by the Chairman of the Supervisory Board. If the Chairman of the Supervisory Board is unable to attend due to personal reasons, he or she may delegate another supervisor to convene and chair the meeting. In the event that the Chairman of the Supervisory Board is unable or unwilling to perform his or her duties, more than half of the supervisors of the Supervisory Board shall nominate a replacement. One supervisor will serve as the meeting chairperson.

Article 11   Conditions for a temporary meeting     When the following circumstances occur at this institution, the chairman of the supervisory board shall: Convene an ad hoc meeting of the Supervisory Board within 5 working days:

(1) When the chairman of the Supervisory Board deems it necessary;

(2) When more than half of the supervisors jointly propose it.

Article 12 Meeting Notice Content     The time and location of the meeting; the items to be considered (meeting proposals); the meeting materials necessary for the supervisors’ voting; the requirement that supervisors must attend the meeting in person; and the contact person and contact information.

Article 13   Rules for Attending the Meeting     The meeting of the Supervisory Board shall be attended by the supervisors themselves. If a supervisor is unable to attend for valid reasons, he or she may appoint another supervisor in writing to attend on his or her behalf. If a supervisor neither attends the meeting of the Supervisory Board nor appoints a representative to attend, he or she shall be deemed to have waived his or her voting rights at that meeting.

Article 14   Voting method     The Supervisory Board shall adopt either a show-of-hands vote or a ballot vote for its deliberations, and each supervisor shall have one vote. Any resolution passed by the Supervisory Board must be approved by more than half of all supervisors.

Article 15   Other provisions     When the Supervisory Board deems it necessary, The director, deputy director, heads of various departments, as well as internal and external auditors, may be invited to attend the Supervisory Board meetings and answer questions of concern.

Article 16   Meeting minutes     The Supervisory Board shall prepare minutes of the resolutions adopted at its meetings. The supervisors and the secretary present at the meeting shall sign the meeting minutes. The supervisory records of the Supervisory Board, as well as the results of financial or special inspections conducted, shall serve as important bases for evaluating the performance of heads of various departments. Supervisors have the right to request that their remarks made at the meeting be accompanied by explanatory notes in the minutes. The meeting minutes of the Supervisory Board shall be filed as part of this institution’s archives.

Article 17    Disclosure of Meeting Resolutions

(1) Resolutions of the Supervisory Board meetings may only be disclosed after being approved by the Board of Directors or proposed for approval by the Employees’ Congress.

(2) The supervisor shall ensure that the information disclosed by this institution is true, accurate, and complete.

Article 18   For matters not covered by these rules, the relevant provisions of applicable national laws, regulations, and the Articles of Association shall prevail.

Article 19   These rules shall take effect upon approval by the Board of Directors.

Article 20   These rules shall be interpreted by the Supervisory Board of this library.
